Terms of Service
Introduction
This Agreement governs the use of the KaraokeSmash.com service, hereafter referred to as 'the Service,' operated by KaraokeSmash LLC. By accessing or using the Service, the user ('User') agrees to be bound by the terms and conditions set forth herein.
Use of Service
The Service provides a platform for creating AI-assisted karaoke content based on User inputs. The User shall utilize the Service in compliance with all applicable laws, regulations, and this Agreement.
User-Generated Content
The Service allows Users to generate content by editing song lyrics and titles. While KaraokeSmash LLC provides the platform for such user-generated content, it does not monitor, review, or edit the content created by Users. Therefore, KaraokeSmash LLC expressly disclaims any and all liability in connection with user-generated content. Users are solely responsible for their content, including but not limited to, ensuring that they have the necessary rights to use and modify the lyrics and titles, and that their modifications do not infringe upon the rights of any third parties or violate any applicable laws. KaraokeSmash LLC reserves the right, but not the obligation, to remove any user-generated content that it determines, in its sole discretion, violates these terms or is otherwise harmful to the Service or its Users.
Intellectual Property Rights
The content on KaraokeSmash.com, excluding User-generated content, is the exclusive property of KaraokeSmash LLC. The User retains rights to their content while granting KaraokeSmash LLC a non-exclusive license to utilize such content in connection with the Service. User-generated content, including edited song lyrics and titles, remains the responsibility of the User. Users must ensure they possess the necessary rights or permissions for any modifications they make and agree to indemnify KaraokeSmash LLC against any claims of intellectual property infringement.
Third-Party Services
The Service integrates with third-party services including YouTube API v3, Firebase, and OpenAI. KaraokeSmash LLC disclaims any liability associated with these third-party services.
Compliance with YouTube API Services
- YouTube Terms of Service: Users are bound by the YouTube Terms of Service. By using the KaraokeSmash service, users agree to adhere to the YouTube Terms of Service.
- Authorization Tokens: Storage of authorization tokens complies with the specific consent of Users and is in accordance with applicable laws.
User Accounts
Users are responsible for maintaining the confidentiality of their account information and for all activities under their account.
Payments and Billing
Payment processing is conducted through Stripe. Users shall provide accurate billing information and are liable for all charges incurred.
Prohibited Activities
The User is prohibited from engaging in any activity that violates applicable laws, infringes upon intellectual property rights, or is otherwise detrimental to the Service or other Users. This includes, but is not limited to, the unauthorized use or modification of copyrighted material in user-generated content such as song lyrics and titles. Users are responsible for ensuring their modifications do not violate intellectual property laws or the rights of third parties.
Termination and Suspension
KaraokeSmash LLC reserves the right to suspend or terminate a User’s account for breach of these terms.
Limitation of Liability and Disclaimer of Warranties
The Service is provided on an 'as is' and 'as available' basis. KaraokeSmash LLC disclaims all warranties and limits its liability to the maximum extent permitted by law.
Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the United States. Any disputes arising hereunder shall be resolved exclusively in the courts of the United States.
Modifications to Terms
KaraokeSmash LLC reserves the right to modify these terms at any time. Continued use of the Service constitutes acceptance of the modified terms.
